These Terms of Use (“Terms”) govern your access to and use of signylai.com (the “Site”), operated by Signyl LLC (“Signyl,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
The Site, and what it is not
The Site presents information about Signyl and lets you reach us. It is informational. Nothing on the Site is an offer, a contract, a guarantee of results, or professional advice. If you engage Signyl, that engagement is governed by a separate written agreement between you and us, which controls over anything on the Site. These Terms govern only your use of the Site itself.
Eligibility
You may use the Site only if you can form a binding contract with Signyl and only for lawful purposes. The Site is intended for businesses and the people who run them, not for children.
Intellectual property
The Site and everything in it — text, design, graphics, layout, typography, the Signyl name and marks, and the work samples shown — is owned by Signyl or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view the Site for its intended purpose. You may not copy, reproduce, republish, distribute, modify, create derivative works from, frame, scrape, or otherwise exploit any part of the Site without our prior written permission, except as allowed by these Terms or by law. Any work samples shown are for demonstration; some are self-initiated, and some depict invented brands, as labeled.
Your submissions
When you send us a brief, an email, or other material (a “Submission”), you confirm that you have the right to share it and that it does not infringe anyone’s rights or break any law. You grant Signyl permission to use the Submission for the purpose of reading it, responding to you, and providing the services you ask about. A Submission does not, by itself, create a confidential or fiduciary relationship; if you need confidentiality, tell us and we will put an agreement in place before you share anything sensitive. Please do not send confidential or proprietary information through the Site before such an agreement exists.
Acceptable use
Your use of the Site is also subject to our Acceptable Use Policy, which is part of these Terms. In short: do not misuse the Site, do not try to break it, and do not use it to harm others.
Third-party links and services
The Site may link to or rely on third-party websites and services that we do not control. We are not responsible for their content, practices, or availability, and a link is not an endorsement. Your dealings with any third party are between you and them.
Disclaimers
The Site is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any information on it is complete, accurate, or current. To the fullest extent permitted by law, we disclaim all such warranties.
Limitation of liability
To the fullest extent permitted by law, Signyl and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of, or inability to use, the Site, whether based in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for all claims relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
Indemnification
You agree to indemnify and hold harmless Signyl and its owners, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site, your Submissions, or your breach of these Terms or of any law or third-party right.
Governing law
These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in the State of New York for any such dispute, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
Changes
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Material changes take effect when posted, and your continued use of the Site means you accept them. If you do not agree to a change, stop using the Site.
Severability and entire agreement
If any provision of these Terms is found unenforceable, the rest stays in effect, and the unenforceable provision will be applied to the maximum extent permitted. These Terms, together with our Privacy Policy and Acceptable Use Policy, are the entire agreement between you and Signyl regarding the Site. Our failure to enforce any provision is not a waiver of it.
